Seyhan's Model/ How 100 Million Dollars Were "Forgiven"

In early 2022, the Board of Directors of the National Commercial Bank urgently and in panic called an extraordinary meeting.

The Turkoashaks who ran BKT had "played roulette" and lost a lot of money. This had put the country's largest bank before two elections. Either it had to add about $100 million in capital, or be taken under state administration.

But Seyhan Pencabligil, who came to Albania as a teenager two decades ago and became the king of Albanian banking, had found a third solution while sitting behind the doors of the Bank of Albania: changing the ledgers.

Sometime between February 24 and March 3, 2022, the BKT Board of Directors announced the change in the business model.

Behind the exotic jargon of the business model, in fact, was simply an accounting maneuver to erase the bank's losses on paper. The entire maneuver was related to the massive investments that BKT had made in securities, Albanian government bonds and those of foreign governments.

Reclassification of $1 billion
At the end of 2021, BKT had total assets of $5.2 billion. But half of this portfolio or $2.6 billion were investments in securities, namely Albanian and foreign government bonds.

There is a golden rule in finance. When market interest rates rise, the value of existing securities falls. The problem was that at the time, market interest rates were rising rapidly as central banks struggled to contain the massive inflationary surge caused by the war in Ukraine.

When securities are held at market value, as BKT had, the increase in interest automatically translates into a decrease in their value and a loss on the balance sheet.

To protect itself from this major decline that was eroding its capital, BKT's board of directors reclassified $947 million in securities from bonds held at market value to bonds held to maturity.

But what would this mean in practice?

By officially declaring that we will not sell these securities before maturity, but will hold them until the state returns the money to us at the end of the maturity period, BKT gained the legal accounting right to no longer reflect losses from daily price fluctuations in the market.

Por kjo ishte një farsë për të cilën Banka e Shqipërisë ishte plotësisht e vetedijshme. Në fakt, BKT nuk ishte banka e vetme që u përball me këtë problem.

Shumë banka europiane, sidomos në Eurozonë, pësuan të njëjtat humbje të fshehura si BKT. Mirëpo, Banka Qendrore Europiane dhe Autoriteti Europian i Letrave me Vlerë dhe Tregjeve mbajtën një qëndrim shumë agresiv.

Rregullatorët në BE deklaruan se rritja e thjeshtë e interesave apo kriza e tregut ishte një rrezik makroekonomik, jo ndryshim real i strukturës operative të bankave. Ata paralajmëruan bankat se nëse do të guxonin të riklasifikonin letrat e tyre thjesht për të fshehur humbjet kontabël, do të përballeshin me penalitete të rënda rregullatore dhe mos-njohje të pasqyrave financiare.

Në Shtetet e Bashkuara të Amerikës, Silicon Valley Bank, banka e famshmë që mbante paratë e sektorit të teknologjisë u çua në falimentim pikërisht për këtë fakt. Sepse nuk i lejuan riklasifikimin e aseteve që mbantë në letra me vlerë.

Në rastin e Shqipërisë, BSH u tregua më pragmatike dhe tolerante sesa BQE-ja në Frankfurt. Duke qenë se tregu shqiptar është i vogël dhe i ndjeshëm, rregullatori vendas lejoi një interpretim më fleksibël të IFRS 9 për BKT-në dhe disa banka të tjera, duke pranuar se goditja e vitit 2022 përbënte një forcë madhore që legjitimonte ndryshimin e modelit të menaxhimit të thesarit.

Nëse do të ndiqeshin standardet e rrepta të BQE-së, lëvizja e BKT-së me shumë gjasa do të ishte bllokuar që në zanafillë.

Dividentët e Seyhanit
Nëse Banka e Shqipërisë nuk do të kishte pranuar riklasifikimin e letrave më vlerë, BKT do të detyrohej të shtonte rreth 100 milionë dollarë kapital në mënyrë urgjente.

Kjo pasi në momentin fillestar të riklasifikimit (shkurt-mars 2022), humbja e pa-realizuar nga rënia e vlerës së bondeve të BKT llogaritej rreth 40.8 milionë USD, ndërsa deri në fund të vitit 2022 ajo arriti në 90 milionë dollarë.

Karta e krizes se BKT

Këto humbje duheshin zëvendësuar me injektim kapitali për të mbajtur parametrat e kapitalit të BKT-së në vlerat e kërkuar nga ligji. Por BKT nuk derdhi asnjë lek sepse riklasifikoi titujt.

Shpëtimi financiar, që BSH i bëri BKT-së ishte një hap i domosdoshëm për të mos zhytur sistemin bankar në krizë financiare. Por ajo që ndodhi më pas ishte një perversitet.

Një muaj pasi Bordi Drejtues i BKT riklasifikoi letrat me vlerë për të zhdukur humbjen në letër, drejtuesit e saj ndanë 50 milionë dollarë dividentë për pronarin në Turqi. Kjo ishte shkelje syri.

BKT was too big to fail. In English, the term is "too big to fail." Consequently, the inevitable happened. Profits for Seyhan and Çaliku, and losses for the public.

Even, shamelessly, the CEO of BKT publicly declared that the year 2022 was a historic record for BKT.

But BKT's profits in 2022 came from violating the rules and tolerating them. Therefore, BKT does not conduct financial intermediation according to market rules, but simply takes citizens' money and buys government bonds. In short, guaranteed profits at the expense of the economy.
